SysTools is committed to managing and rendering its software assets for maximum benefit of the organization and end user. Products and services produced by SysTools are liable to customization as per user quotation.

A start-up or an established enterprise, SysTools will be willing to assist you at any and every point of the software customization cycle, right from the conceptualization, analysis from business standpoint, prototyping, to the final development deployment stage.

Advance Payment

Payment of 50% of the total customization pricing needs to be made by the user in advance for requesting the commencement of product prototype creation. Team at SysTools are given developmental instructions as soon as the advance user quotation is received for customization.

Non-Refundable Charges

All the payments made for software customization are non-refundable. Whether it is the 50% advance payment or the additional payments made afterwards in concern with further customizations are all non-refundable.

Prototype Creation

A prototype of the software service (as per user quotation) will be designed by the SysTools team before the creation of final copy of the software.

Development Confirmation

A final copy of the software service will be generated only after confirmation on the designed prototype (as per user instructions). Any changes or further customizations demanded on the development will be chargeable by SysTools as per the policy.

Added Development

Users will be charged extra for additional customizations on the prototype designed by SysTools (as per user quotation).

• Changes suggested for developmental services after execution of customization or submission of the Order Form is subject to a cost or a re-quotation on the mutual agreement between the user and SysTools in writing.

Ownership Rights

Regardless of whosoever suggests/recommends/requests for software customizations, SysTools remains the sole owner of the intellectual property rights, copyrights and patent to the respective software solution. The organization holds complete rights to further marketing the deployed version of the software post final developmental stage (as per user quotation).

Warranty Guidelines

Software warranty is subject to respective conditions categorized as Limited Warranty and Liability Limitation.

• Limited Warranty: SysTools warrants that it by no means represents that the deployed software service after customization will be able to achieve a standard or user specific result for a particular business type, or that conducted customizations will be completely error free or uninterrupted to be executed by the user. The warranty shall not be applicable in the given circumstances or defined usage of the software:
  
  • Improper or insufficient maintenance/installation of the custom software copy
  • Negligence, accidental damage, abuse, or damage caused by external means or logical means from the end user
  • Unethical or unauthorized usage or modification of the custom software copy that is not a part of the Order Form or policy or SysTools instructions
  • Incompatible/improper environment or use of the custom software copy generated post the prototype
  • Use of the custom software copy in combination with applications or interfaces that are neither supplied nor authorized by SysTools
• Liability Limitation:
  
  • IN NO INCIDENT SHALL SYSTOOLS SOFTWARE BE ACCOUNTABLE TO YOU OR YOUR ORGANIZATION FOR ANY SPECIAL, INDIRECT, PUNITIVE, CONSEQUENTIAL, EXEMPLARY OR DAMAGES THAT ARE INCIDENTAL (DAMAGES CAUSING REVENUE LOSS, LOSS OF PROFITS, BUSINESS INFORMATION LOSS, LOSS OF REVENUE, AND THE LIKES) ORIGINATING FROM THE USE, FAILURE TO USE, NON-PERFORMANCE OF, THE CUSTOMIZED SOLUTION, MODULE, OR SERVICES
  • IN NO EVENT IS SYSTOOLS’ MAXIMAL CUMULATIVE LIABILITY TO YOU FOR ANY DIRECT /INDIRECT DAMAGES GO BEYOND THE TOTAL SUM PAYABLE BY YOU FOR CUSTOMIZATION SERVICES EXECUTED BY SYSTOOLS SOFTWARE.
